2. INTELLECTUAL PROPERTY RIGHTS

Preliminary remark

The name and logo of the Company are the subject of a pending trademark application and will be protected upon registration, if and when registration is granted. Nothing in these Legal Terms shall be interpreted as meaning that the mark is already registered or fully protected as a registered trademark, unless and until such registration has been obtained.

Our Intellectual Property

We are the owner or the licensee of all intellectual property rights in and to the Services, including all source code, databases, functionality, software, website designs, text, graphics, logos, photographs, audio, video and other content created by or for us or otherwise licensed to us (collectively, the "Content"), as well as any marks, logos and other distinctive signs used in connection with the Services (the "Marks”). Our Content is protected by copyright, trademark and other intellectual property laws and treaties applicable worldwide.

The Content and Marks are provided through the Services “as is” and are made available solely for your personal, non-commercial use only. Subject to these Legal Terms, including the Prohibited Activities section below, we grant you a limited, non-exclusive, non-transferable, revocable license to access the Services and download or print a copy of any portion of the Content to which you have properly gained access, solely for your personal, non-commercial use.

Except as expressly permitted in these Legal Terms, no part of the Services, and no Content or Marks, may be copied, reproduced, modified, adapted, translated, published, uploaded, posted, publicly displayed, transmitted, distributed, sold, licensed or otherwise exploited for any commercial purpose without our prior written consent. If we grant you permission to post, reproduce or publicly display any part of our Services or Content, you must identify us as the owners or licensors of the Services, Content or Marks and ensure that any copyright or proprietary notice appears or is visible when posting, reproducing or displaying our Content. We reserve all rights not expressly granted to you in and to the Services, Content and Marks. Any breach of these Intellectual Property Rights will constitute a material breach of our Legal Terms and your right to use our Services will terminate immediately.

Creators’ Content and Image Consent

By uploading, submitting, posting or otherwise making available any photographs, videos, images, text, metadata, captions or other materials through the Services (the “Creators’ Content”), you retain ownership of your Creators’ Content, subject to the license granted below.

You grant Paparazzi a worldwide, non-exclusive, royalty-free, transferable and sublicensable license to host, store, reproduce, display, publish, distribute, communicate to the public, adapt, edit, format and otherwise use your Creators’ Content for the purposes of operating, providing, improving, promoting and marketing the Services, including displaying such content to users and third parties in connection with the Services, on any media now known or hereafter developed.

For the avoidance of doubt, you may use, display and publish your Creators’ Content on your own website, portfolio and controlled social media accounts, provided that you have obtained all consents, releases and permissions required under applicable law from any identifiable person appearing in such content and such use does not infringe any third-party rights. You remain solely responsible for ensuring that any identifiable person appearing in the Creators’ Content has consented to such capture and to any subsequent publication, sharing or republication of that content on your own channels.

You further represent and warrant that:

you are the author and owner of, or otherwise have all necessary rights, licenses and permissions to grant the license set out above;
your Creators’ Content does not infringe the rights of any third party;
your Creators’ Content does not contain any unlawful, defamatory, misleading, obscene or otherwise prohibited material.

To the extent permitted by applicable law, any moral rights that may subsist in the Creators’ Content remain vested in the relevant right holder and are not waived or transferred to the extent such waiver or transfer would be invalid or would prejudice that person’s honor or reputation.

Clients’ Content

The Client acknowledges and agrees that, in the course of the Services, photographs, videos, visual extracts, texts, reviews, testimonials and other content relating to or depicting the Client may be created, collected, transmitted or made available via the Platform, including content in which the Client appears either identifiable or non-identifiable. Where applicable, the Client retains ownership of the Clients’ Content, subject to the non-exclusive, worldwide, royalty-free, transferable and sublicensable authorization and license granted below to Paparazzi.

The Client expressly authorizes Paparazzi, for the entire duration of the applicable legal protection and worldwide, to reproduce, display, communicate to the public, publish, distribute, adapt, crop, retouch, edit, translate, format, index, store and otherwise exploit the Clients’ Content, on any media now known or hereafter developed, including photographs and videos taken in the course of the Services, where such content depicts or makes it possible to identify the Client, for the purposes of:

operating, hosting and improving the Platform and the Services;
promoting, advertising and marketing Paparazzi and its Services;
Paparazzi’s institutional and commercial communications;
publication on the website, mobile application, profile pages, galleries, newsletters, blogs and promotional materials;
distribution on social networks, search engines, sharing platforms, sponsored campaigns, advertising publications, press relations and any other internal or external communication channels.

The Client further authorizes Paparazzi to associate such content with the Client’s first name, last name, pseudonym, city, testimonial, rating, comment or any other presentation element provided by the Client in the course of the Services, subject to compliance with applicable law and respect for the Client’s personal integrity. Paparazzi may, without further authorization from the Client, carry out any reasonable technical or editorial adaptation of the Clients’ Content, provided that such adaptations do not infringe the Client’s honor, reputation or dignity. The Client declares that they have been duly informed of the scope of this authorization, which is granted expressly, specifically and knowingly.

The Client may withdraw this authorization for the future by written notice to Paparazzi, provided that such withdrawal shall not affect uses already made, materials already distributed, or any legal or contractual obligations to retain certain content.

You represent and warrant that:

you are the author and owner of, or otherwise have obtained all necessary rights, licenses and permissions to grant the license set out above;
your Clients’ Content does not infringe the rights of any third party;
where your Clients’ Content includes the image, name, voice or likeness of any identifiable person, you have obtained all necessary consents, releases and permissions for the use of such content in accordance with these Terms;
your Clients’ Content does not contain any unlawful, defamatory, misleading, obscene, infringing or otherwise prohibited material.

To the extent permitted by applicable law, you acknowledge that any moral rights that may subsist in the Clients’ Content remain vested in the relevant right holder and are not waived or transferred to the extent such waiver or transfer would be invalid or would prejudice that person’s honor or reputation.

Your Responsibilities and Moderation

You are solely responsible for your Creators’ Content and Clients’ Content (your “Contributions”) and for any statements, representations or materials that you submit or make available through the Services. We do not claim ownership over your Contributions. However, we may, in our sole discretion and without prior notice, edit, redact, re-categorize, refuse to publish, remove or disable access to any Contributions, in whole or in in part, at any time and for any reason. We have no obligation to monitor Contributions. To the fullest extent permitted by applicable law, you agree to indemnify and hold us harmless from and against any claims, losses, liabilities, damages, costs and expenses arising out of or relating to your Contributions or your breach of these Terms.

Copyright Infringement

We respect the intellectual property rights of others. If you believe that any material available on or through the Services infringes any copyright you own or control, please notify us using the contact information provided below (a "Notification"). A copy of your Notification may be sent to the person who posted or stored the material identified in the Notification. Please note that you may be held liable for damages if you make false statements of a material nature in a Notification. If you are not sure whether material located on or linked to by the Services infringes your copyright, you should consider first contacting an attorney.

3. USER REPRESENTATIONS

By using the Services, you represent and guarantee that:

all registration information you submit will be true, accurate, current and complete;
you will maintain the accuracy of such information and promptly update such registration information as necessary;
you have the legal capacity and you agree to comply with these Legal Terms;
you are not under the age of thirteen;
you are not a minor in the jurisdiction in which you reside, or if a minor, you have received parental permission to use the Services;
you will not access the Services through automated or non-human means, whether through a bot, script or otherwise;
you will not use the Services for any illegal or unauthorized purpose;
your use of the Services will not violate any applicable law or regulation.

If you provide any information that is untrue, inaccurate, not current or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Services (or any portion thereof).

4. USER REGISTRATION

You may be required to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene or otherwise objectionable.

5. PURCHASES AND PAYMENT

General payment processing

Payments on the platform are processed via third-party payment service providers. By using the platform, users agree to comply with the terms and conditions of these payment service providers, which may require identity verification or additional information before enabling transactions.

Pricing and fees for Services

Clients agree to pay the fees associated with the booking of photography or videography Services as displayed on the platform at the time of booking. Unless explicitly stated otherwise, all prices are indicated in euros and include all taxes required by Luxembourg law. Paparazzi may apply service fees for the use of the platform, which will be clearly and transparently indicated before the confirmation of any transaction.

Explicit consent to pay

Before any order for Services or products is validated on the platform, the user will be clearly and comprehensibly informed of the different technical steps to follow to conclude the contract. The user will have the opportunity to check the details of their order and its total price and to correct any errors before confirming it. The languages offered for concluding the contract are English, Italian, French, Spanish, German and Dutch.

For any contract concluded electronically that entails a payment obligation, the professional must ensure that the consumer explicitly acknowledges this obligation. Accordingly, before placing any order, you will be presented with the phrase “Proceed to payment” on the validation button. Any contract concluded in violation of this provision is null and void by law, though this nullity can only be invoked by the consumer. The burden of proof for compliance with these requirements rests with the professional. Upon validation of the order, an electronic acknowledgment of receipt will be sent to the user without undue delay, summarizing the details of their order.

Creators’ payouts

Creators authorize Paparazzi and its payment partners to collect payments from Clients on their behalf. Paparazzi will then automatically remit the corresponding amounts to Creators, less the applicable service fees, commissions or charges set out in the Fee Schedule annexed to these Terms, which is incorporated herein by reference and forms an integral part hereof, and as amended from time to time in accordance with these Terms. Creators acknowledge that the Fee Schedule has been made available to them prior to acceptance of these Terms and agree that Paparazzi may deduct the applicable fees from Creator payouts in accordance with these Terms and the Fee Schedule. Creators are responsible for ensuring that all information provided for payment and payout purposes is accurate and kept up to date.

Payment finality, escrow and disputes

Payments are processed through an escrow-type mechanism and are not considered final until the service has been duly accepted by the Customer. Upon delivery of the content (e.g. photographs), the delivered files will initially be made available with a watermark applied. Following delivery, the Customer has the following options:

Approval of the order: the Customer may approve the delivery, in which case the watermark-free content will be made available for download and the corresponding payment will be released to the Creators’ account.
Dispute of the order: the Customer may dispute the delivery. In such case, the Customer will not be able to download the watermark-free content and the funds will remain held by the platform until the dispute is resolved.

Paparazzi shall act as the dispute resolution authority and determine, at its sole discretion, whether the dispute is resolved in favor of the Client or the Creator. Upon such resolution, the funds shall be released accordingly.

Paparazzi is not responsible for delays, failures, or errors attributable to third-party payment service providers or banking institutions. Clients must ensure that they have sufficient funds or credit available to complete any transaction initiated on the platform. In the event of suspected fraudulent activity, abuse of the dispute mechanism, chargebacks, or other payment-related issues, Paparazzi reserves the right to suspend or cancel the relevant transaction, freeze associated funds, or restrict access to the platform until the matter is fully resolved.

Right of Withdrawal

If you qualify as a consumer and this agreement is concluded at a distance or off premises, you have the right to withdraw from this agreement without giving any reason within fourteen (14) calendar days from the conclusion of the contract, to the extent provided by applicable law.

If you expressly request that the Services begin during the withdrawal period, you acknowledge that, once the Services have been fully performed, you will lose your right of withdrawal in respect of those Services, to the extent permitted by applicable law and subject to the applicable statutory conditions. This includes any service element that has been fully performed at your express request.

If the Services include any digital content not supplied on a tangible medium, and you expressly request immediate access or delivery during the withdrawal period, you acknowledge and consent that your right of withdrawal will be lost once performance has begun, provided that the statutory conditions for such loss are met, including the required express consent and acknowledgement.

To exercise your right of withdrawal, you must notify us before the withdrawal period expires by an unambiguous statement sent on a durable medium, for example by email. If you validly withdraw, we will reimburse all payments received from you without undue delay and in any event within fourteen days from the date on which we are informed of your decision to withdraw, using the same means of payment as the initial transaction unless you expressly agree otherwise.

14. DISPUTE RESOLUTION

Informal negotiations

To expedite resolution and control the cost of any dispute, controversy or claim related to these Legal Terms (each a "Dispute" and collectively, the "Disputes") brought by either you or us (individually, a "Party" and collectively, the "Parties"), the Parties agree to first attempt to negotiate any Dispute (except those Disputes expressly provided below) informally for at least thirty (30) days before initiating arbitration. Such informal negotiations commence upon written notice from one Party to the other Party.

Binding arbitration

Any dispute arising from the relationships between the Parties to these Legal Terms shall be determined by one arbitrator who will be chosen in accordance with the Arbitration and Internal Rules of the European Court of Arbitration being part of the European Centre of Arbitration having its seat in Strasbourg, and which are in force at the time the application for arbitration is filed and of which adoption of this clause constitutes acceptance. The seat of arbitration shall be Luxembourg, Luxembourg. The language of the proceedings shall be English. Applicable rules of substantive law shall be the law of Luxembourg.

Restrictions

The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually. To the full extent permitted by law:

no arbitration shall be joined with any other proceeding;
there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures;
there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

Exceptions to informal negotiations and arbitration

The Parties agree that the following Disputes are not subject to the above provisions concerning informal negotiations binding arbitration:

any Disputes seeking to enforce or protect, or concerning the validity of, any of the intellectual property rights of a Party;
any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorized use;
any claim for injunctive relief.

If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.

Our total liability arising out of or in connection with the Services shall be limited to the amount paid by you for the relevant Services, except where such limitation is not permitted by applicable law. 24. ANNEXES

FEE SCHEDULE

Last updated: May 8, 2026

Annex to the Terms and Conditions. Applicable to Creators only.

This Fee Schedule forms an integral part of the Terms and Conditions of Paparazzi S.à r.l.-S (the Terms) and applies solely to Creators, including photographers, using the Services.

Definitions

Capitalized terms used but not defined in this Fee Schedule have the meaning given to them in the Terms. For the purposes of this Fee Schedule:

Creator means any photographer registered on the Platform and offering photography services through the Services.
Transaction means any booking, order or other payable transaction concluded through the Services between a Client and a Creator in connection with the Services.
Gross Transaction Amount means the total amount paid or payable by the Client in respect of a Transaction, as displayed or confirmed on the Platform at the time of booking, excluding any amount expressly stated as not forming part of the Commission base, if any.
Commission means the fee retained by Paparazzi from the Creator’s payout in accordance with this Fee Schedule.

Commission

A 13% commission applies to each Transaction. The Commission shall be calculated on the Gross Transaction Amount of the relevant Transaction.

Deduction from Creator payouts

Creators authorize Paparazzi and its payment partners to collect payments from Clients on their behalf. Paparazzi will then automatically remit the corresponding amounts to Creators, less the applicable Commission set out in this Fee Schedule. Paparazzi is expressly authorized to deduct the Commission from the amount otherwise payable to the Creator in respect of each Transaction.

Timing of deduction

The Commission shall be deducted at the time Paparazzi processes the payout to the Creator for the relevant Transaction. If a Transaction is cancelled, reversed, refunded, charged back or otherwise adjusted, Paparazzi may correspondingly adjust the Commission and, where applicable, recover from the Creator any amount unduly paid.

Taxes

All amounts referred to in this Fee Schedule are exclusive of any applicable taxes, unless expressly stated otherwise. Where VAT or any other tax is applicable under Luxembourg law, it shall be added or applied in accordance with the applicable legal and tax rules.

Changes to the Fee Schedule

Paparazzi may amend this Fee Schedule from time to time in accordance with the Terms. Any amended version shall apply only from the date on which it becomes effective and is made available to Creators in accordance with the Terms.

Acknowledgment

By accepting the Terms and using the Services, each Creator acknowledges and agrees that:

The Commission is due on each Transaction;
The Commission is currently set at 13%;
The Commission is deducted from the Creator’s payout;
This Fee Schedule has been made available prior to acceptance of the Terms.
